The Process

After that, the necessary documentation needs to be prepared and filed. For example, the Memorandum and Articles of Association and the Certificate from the Registered Agent.

Like with every other company incorporation you need to provide standard due diligence documents like a passport copy and utility bill. This is also needed from other people in the structure, like shareholders and directors.

The Requirements

There are certain requirements for BVI Company Formation.

For example, to register your company in the BVI there is a minimum requirement of one director and one shareholder.

Directors may be natural persons or corporate bodies. They can be of any nationality and need not be resident.

A copy of the Register of Directors and a copy of the Register of Members must be held at the Registered Office and any changes to the Register must be sent to the Registered Office within 15 days of the change.

Furthermore, a registered office in the BVI is required and must be maintained at the office of a licensed management company.
